Terms of Service

These Terms of Service (the "Terms") govern your access to and use of PPN World (the "Service"), a real-time press-release intelligence software platform operated by Bollé Communications inc., a company incorporated in Quebec with offices in Montreal, Quebec, Canada ("Bollé Communications inc.", "we", "us" or "our"). By creating an account, accessing the Service, or using it, you enter into a binding agreement with Bollé Communications inc. and you accept these Terms. If you do not agree to these Terms, do not use the Service. For legal questions, write to info@ppnsource.com.

1. Acceptance & Eligibility

By accessing or using the Service, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" then refers to that organization.

You must be at least 18 years old, or the age of majority in your jurisdiction of residence, and have the legal capacity to enter into a contract. The Service is intended for professional use by journalists, communications professionals, analysts, and organizations; it is not directed to children and we do not knowingly collect their information.

2. Description of the Service

PPN World is a cloud-based (SaaS) real-time press-release intelligence platform. The Service includes, among other things: a live feed that aggregates 50+ newswires; an interactive globe and map views; entity dossiers; artificial-intelligence features (summaries, briefs, classification, entity extraction, and draft generation), including the "Ask the World" agent; a journalist and press-contact directory; saved searches with email digests; and team workspaces.

The Service evolves continuously. We may add, change, or remove features, and we may impose reasonable usage limits (for example on AI feature calls or request rate). We strive to provide a reliable service, but the Service is provided "as is" and we do not guarantee uninterrupted availability (see Section 11).

3. Accounts & Security

To use most features, you must create an account. Authentication is provided through Supabase and may be done via email and password or via OAuth sign-in with Google or GitHub. You agree to provide accurate information and keep it up to date, and not to impersonate anyone.

You are responsible for keeping your credentials confidential and for all activity under your account. You must notify us promptly at info@ppnsource.com of any unauthorized use or security breach. We implement reasonable security measures, but no service can guarantee absolute security.

4. Subscriptions & Billing

Trial. Paid subscriptions begin with a 14-day, card-required trial, initiated through Stripe Checkout. You must provide a valid payment method to start the trial. At the end of the trial period, the subscription automatically converts to a paid subscription and the payment method on file is charged, unless you cancel before the trial ends.

Plans and pricing. The plans are: Pro ($99 per month or $990 per year); Team ($299 per month or $2,990 per year, with a 3-seat minimum); and Enterprise (by request through our sales team). Unless stated otherwise, prices are in dollars and exclude applicable taxes. You may choose monthly or yearly billing.

Renewal and cancellation. Subscriptions automatically renew at the end of each billing period. You may cancel at any time through the Stripe customer portal. Cancellation takes effect at the end of the current billing period: you keep access until that date and no further renewal is charged. For the Team plan, the 3-seat minimum applies for as long as the subscription remains active.

Refunds. Except where required by applicable law, payments are non-refundable and we do not provide pro-rated refunds for a partially used subscription period, including following cancellation or downgrade. This clause does not limit any rights you have under mandatory law.

Price changes and taxes. We may change prices. For an existing subscription, any price change takes effect at the next renewal and you will be given at least 30 days' notice by email or through the Service; if you do not accept the new price, you may cancel before it takes effect. You are responsible for applicable taxes (including GST/HST and QST in Canada, or equivalent taxes elsewhere), which are added to the displayed prices unless stated otherwise. Payment processing and subscription billing are handled by Stripe; payment-card data is handled by Stripe and is never stored by us.

5. Acceptable Use & Prohibitions

You agree to use the Service lawfully and in accordance with these Terms. You must not, and must not permit any third party to:

• extract, scrape, crawl, or automatically harvest our API, our data, or any Service content by unauthorized means, or circumvent rate limits or access controls; • resell, redistribute, sublicense, or commercially exploit the Service or its data for the benefit of third parties, outside the scope provided by your plan; • abuse the AI features, including through excessive automated volume, transmission of unlawful or malicious content, or attempts to bypass security measures or filters; • reverse engineer, decompile, or disassemble the Service, or attempt to extract its source code, except to the extent mandatorily permitted by law; • share account credentials beyond the licensed seats, or circumvent seat requirements; • upload malware, disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to accounts, systems, or data; • use the Service to infringe third-party rights, applicable laws, or rules relating to personal information.

6. Intellectual Property

The Service, its software, interface, design, databases, trademarks, and all content we create (excluding press-wire content, addressed in Section 7, and your User Content) are the property of Bollé Communications inc. or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the duration of your subscription.

User Content. You retain all rights in the content you create, upload, or save in the Service, such as your bookmarks, watchlists, saved searches, team data, and queries (collectively, "User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and process your User Content solely as needed to operate, maintain, secure, and improve the Service and provide it to you, including through the sub-processors listed in Section 8. This license ends when you delete the User Content or close your account, subject to the retention described in our Privacy Policy and residual backups.

Your feedback. If you send us feedback or suggestions about the Service, you allow us to use them freely, with no obligation to you.

7. Press-Wire Content

The Service aggregates press releases that issuers have published publicly (title, excerpt, canonical URL, source, date, and dateline), with systematic source attribution; users click through to the original page to read the full release. This content remains the intellectual property of its respective issuers. Our redistribution framework, attribution practices, and takedown procedure are described in detail on the "Press Wire Content & Fair Use" page (/legal/press-content), which forms an integral part of these Terms and is not reproduced here.

8. Third-Party Services & Sub-processors

The Service relies on third-party providers to operate. These providers include: Vercel (application hosting, serverless functions, CDN, edge, Web Analytics); Supabase (authentication, Postgres database, and storage, hosted per the project region); OpenAI (summaries, entity extraction, country classification, draft generation); Anthropic (Claude models powering the "Ask the World" agent and AI briefs); Resend (transactional and digest email delivery); Upstash (IP-based Redis rate limiting); Stripe (payment processing and subscription billing); MapTiler / MapLibre (map tiles for the globe and map views); and Sentry (error monitoring, which may capture limited diagnostic data).

Your use of features that depend on these providers is also subject to their own terms. We are not responsible for the acts, omissions, content, or services of third parties, including external sites reachable from links in the Service (such as the original press-release pages). The processing of personal information by these sub-processors is described in our Privacy Policy.

9. AI Output Disclaimer

The Service's AI features — including summaries, briefs, country classification, entity extraction, draft generation, and the "Ask the World" agent — are produced by OpenAI and Anthropic models. The prompt inputs you provide are sent to these providers to produce the output. This output may be inaccurate, incomplete, outdated, or misleading ("hallucinations") and does not necessarily reflect our views.

AI output does not constitute professional, legal, financial, accounting, medical, or other advice. You are solely responsible for verifying the accuracy, compliance, and suitability of any output before relying on it, publishing it, or distributing it. We disclaim all liability for decisions made or content published based on AI output.

10. Disclaimers & "As Is"

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available," without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that the aggregated data, directory contacts, or AI output will be accurate, complete, or current.

Some laws do not allow the exclusion of certain warranties. In that case, the exclusions above apply to the extent permitted by those laws, and your mandatory rights remain unaffected.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Bollé Communications inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from your use of, or inability to use, the Service, even if we were advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms and the Service will not exceed the total fees you actually paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to the extent prohibited by applicable law, including in cases of gross or intentional fault where the law prohibits their limitation.

12. Indemnification

You agree to indemnify and hold harmless Bollé Communications inc., its officers, directors, employees, and agents from any third-party claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or the law; (b) your User Content; or (c) your violation of a third party's rights. We may participate in the defense of any claim subject to this indemnity, at our expense, and you will not settle any claim that imposes an obligation on us without our prior written consent.

13. Suspension & Termination

You may stop using the Service at any time and close your account. You may cancel your subscription through the Stripe customer portal, as set out in Section 4. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if your payment fails, if your use poses a security or legal risk, or if required by law. Where reasonably possible, we will give you notice and, for curable breaches, an opportunity to cure.

On termination, your right to use the Service ends. We may delete your User Content in accordance with our Privacy Policy; you are responsible for exporting your data before closure where the Service offers that option. Provisions that by their nature should survive (including Sections 6, 9, 10, 11, 12, 14, and 16) remain in effect after termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to any mandatory rights you have under the law, including as a consumer, you and Bollé Communications inc. agree that the courts of the judicial district of Montreal, Quebec, have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

Before starting proceedings, we encourage you to contact us at info@ppnsource.com to try to resolve the dispute amicably. Nothing in this Section affects the rights that applicable privacy laws (including Quebec Law 25, Canada's PIPEDA, the EU and UK GDPR, and California's CCPA/CPRA) give you to file a complaint with the competent supervisory authority.

15. Changes to These Terms

We may amend these Terms from time to time. For material changes, we will notify you by a reasonable means (by email or through the Service) before they take effect. The "Last updated" date shown at the top of the page reflects the current version. By continuing to use the Service after the changes take effect, you accept the revised Terms; if you do not accept them, you must stop using the Service and may cancel your subscription.

16. General Provisions & Contact

These Terms, together with the policies and pages they incorporate by reference (including the Privacy Policy, the Cookie Policy, and the "Press Wire Content & Fair Use" page), constitute the entire agreement between you and Bollé Communications inc. regarding the Service. If any provision is held invalid, the remaining provisions stay in effect. Our failure to exercise a right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, or asset sale.

The parties have expressly requested that these Terms and all related documents be drawn up in French and English. In case of discrepancy between language versions, and subject to applicable laws, the French version prevails for users residing in Quebec.
